Terms of Service
Effective: January 1, 2026
These Terms of Service ("Terms") govern your access to and use of the Continuity Intelligence platform, website, and related services (collectively, the "Services") provided by Continuity Intelligence, Inc. ("CI," "we," "our," or "us"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Acceptance of Terms
By creating an account or using the Services, you represent that you are at least 18 years of age and have the authority to bind your organization to these Terms. If you are using the Services on behalf of an organization, you agree to these Terms on behalf of that organization.
2. Service Description
Continuity Intelligence provides a Knowledge Change Management System that monitors sources of truth for changes, detects drift in deployed training and knowledge content, and generates AI-assisted revision suggestions. The Services include drift detection, change monitoring, reporting, integrations, and related features as described on our website.
3. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to any part of the Services or related systems
- Interfere with or disrupt the integrity or performance of the Services
- Reverse engineer, decompile, or disassemble any part of the Services
- Use the Services to transmit malicious code or engage in fraudulent activity
- Resell or redistribute the Services without written authorization
5. Intellectual Property
All rights, title, and interest in the Services, including software, algorithms, documentation, trademarks, and trade secrets, remain the exclusive property of Continuity Intelligence, Inc. Your content remains your property. By using the Services, you grant us a limited license to process your content solely for the purpose of providing the Services. We do not claim ownership of your content and do not use customer content to train AI models.
6. Payment Terms
Paid plans are billed annually unless otherwise agreed. All fees are non-refundable except as required by law. We may change pricing with 30 days' written notice. Failure to pay may result in suspension or termination of access to the Services.
7. Confidentiality
Each party agrees to protect the other party's confidential information with the same degree of care it uses to protect its own confidential information, but no less than reasonable care. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTINUITY INTELLIGENCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO CI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Warranties and Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.
10. Termination
Either party may terminate these Terms with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Services ceases. You may request export of your data within 30 days of termination, after which we may delete it.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of the Services after changes constitutes acceptance of the revised Terms.
